When the 9% UAE Corporate Tax was introduced, it sparked a major concern for investors and holding companies: double taxation. If a company generates a profit, pays its 9% Corporate Tax, and then distributes the remaining funds as dividends to its shareholders, are those dividends taxed a second time?
Fortunately, the Ministry of Finance anticipated this issue. To maintain the UAE's status as a premier global investment hub, the Corporate Tax Law includes a powerful mechanism known as the Participation Exemption.
1. Domestic Dividends: The 100% Exemption
If your UAE-based company receives dividend income from another UAE Resident Person (meaning a company that is also subject to UAE Corporate Tax), that income is automatically 100% exempt from Corporate Tax.
"You do not need to meet any minimum ownership threshold or holding period to qualify for the domestic dividend exemption. If the distributing company is a UAE Resident, the dividends you receive are tax-free."
2. Foreign Dividends and Capital Gains
The rules become more complex if your UAE company holds shares in a foreign entity. You can still claim a 100% exemption on foreign dividends and capital gains (such as profit from selling shares), but you must strictly meet the conditions of the Participation Exemption regime.
To qualify, the UAE holding company (the "Participating Shareholder") must prove the following:
- Ownership Threshold: You must own at least 5% of the foreign company's shares. Alternatively, if your ownership is under 5%, the acquisition cost of those shares must have been at least AED 4 million.
- Holding Period: You must have held (or intend to hold) the ownership interest for an uninterrupted period of at least 12 months.
- Subject to Tax Test: The foreign subsidiary must be located in a jurisdiction that imposes a Corporate Tax rate of at least 9%. The FTA requires proof that the profits you are receiving were already subject to a fair tax in their home country.
Why This Matters for Holding Companies
The Participation Exemption makes the UAE one of the most tax-efficient jurisdictions in the world for setting up a Holding Company. By structuring your corporate group correctly, you can consolidate global profits in the UAE without suffering tax leakage from multiple jurisdictions.
However, failing to document your holding periods or miscalculating the "Subject to Tax" test can result in your entire dividend distribution becoming taxable at 9%.
